Agency Name: Digital Brand

These Terms & Conditions (“Agreement”) govern the services provided by Digital Brand, hereinafter referred to as “the Agency.” By engaging our services, you agree to comply with and be bound by the terms outlined below.
1. Services
Digital Brand provides a range of digital marketing and creative services, including but not limited to:
Search Engine Optimization (SEO)
Social Media Marketing (SMM)
Paid Advertising (Google Ads, Meta Ads, etc.)
Website Design & Development
Branding & Graphic Design
Email & WhatsApp Marketing
The scope of services shall be based on the proposal, quotation, or package mutually agreed upon.
2. Payment Terms
All payments must be made in advance unless otherwise agreed in writing.
Monthly service retainers are due on or before the 1st of each billing cycle.
A delay of more than 7 days in payment may result in suspension of services.
Fees are non-refundable unless specifically stated otherwise.
All charges are exclusive of GST or other applicable taxes.
3. Client Responsibilities
The Client agrees to:
Provide timely access to necessary accounts, data, and business information.
Approve deliverables and respond to feedback or revision requests without unnecessary delay.
Avoid engaging other service providers for overlapping services unless discussed.
Failure to comply may affect results and project timelines, without altering the payment terms.
4. Confidentiality
Both the Agency and the Client agree to maintain strict confidentiality regarding proprietary information shared during the course of the engagement. Confidential information will not be disclosed to any third party without prior written consent.
5. Intellectual Property
All digital assets created by the Agency remain its property until full payment is received.
Upon receipt of payment, the Client gains the right to use the content for internal and external marketing purposes.
The Agency retains the right to display non-confidential work in its portfolio.
6. Performance Disclaimer
While the Agency will make all reasonable efforts to deliver measurable results, no guarantees are made regarding:
Sales or conversions
Ad performance or reach
Search engine rankings
Performance depends on multiple external factors beyond the Agency’s control.
7. Limitation of Liability
The Agency shall not be liable for:
Loss of profits or indirect damages
Downtime or loss caused by third-party tools or platforms
Delays due to the Client’s non-responsiveness
Total liability shall not exceed the amount paid by the Client in the past 30 days.
8. Termination
This agreement may be terminated by either party with 15 days’ written notice. Upon termination:
All outstanding invoices become immediately due.
Access and rights to materials revert to the rightful owners.
No refunds shall be issued for prepaid or unused services unless agreed upon.
9. Revisions & Approvals
The Client is entitled to 2 rounds of revisions per deliverable. Delays in feedback beyond 5 business days may shift timelines accordingly.
10. Governing Law
These Terms & Conditions shall be governed in accordance with the laws of India. Any disputes arising shall be resolved under Indian jurisdiction.
11. Changes to Terms
The Agency may update these Terms & Conditions at any time. Continued use of services constitutes acceptance of the updated terms.
